either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

Any commercial software and the accompanying files (if any) are provided "as is" without warranty of any kind, either express or implied,
including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

CEM LLC does not warrant that the functions contained in any commercial software will meet your requirements, or that the operation Of
the software will be uninterrupted or error-free, or that any defects discovered in the software will be corrected.

Furthermore, CEM LLC does not warrant or make any representations regarding the use or the results of the use of the commercial software
in terms of its correctness, accuracy, reliability, or otherwise. You assume all risks in using the commercial software.

No oral or written information or advice given by CEM LLC or any of their Authorized Representatives shall create a warranty or in any way
increase the scope of this warranty.

In no event shall CEM LLC be liable for any damages whatsoever including direct, indirect, incidental, consequential, loss Of business profits
or special damages, even if CEM LLC has been advised of the possibility of such damages.

Certain states do not permit exclusions of implied warranties or Limitations Of Liability, so this disclaimer may not apply to you or may apply
to you only in part. You may have other legal rights which vary from state to state.

Limited Warranty

LIMITED WARRANTY. CEM LLC (the “Company”) warrants that (a) its products and services provided (the “products and services”) will perform
substantially in accordance with the accompanying written materials for a period of (180) days from the date of receipt and (b) that
the medium on which the products and services are contained will be free from defects in materials and workmanship under normal use and service
for a period of one (1) year. In the event applicable law imposes any implied warranties, the implied warranty period is limited to (180)
days from the date of receipt. Some jurisdictions do not allow such limitations on duration of an implied warranty, so the above limitation may
not apply to you.

CUSTOMER REMEDIES. The Company’s and its suppliers’ entire liability and your exclusive remedy shall be, at the Company’s option, either (a) return
of the price paid for the product or service, or (b) repair or replacement of the products and services that do not meet this Limited Warranty and
which is returned to the Company with a copy of your receipt. This Limited Warranty is void if failure of the products or services has resulted from
accident, abuse, or misapplication. Any replacement products and services will be warranted for the remainder of the original warranty period or (90) days, whichever is longer.

NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS SUPPLIERS DISCLAIM ALL
OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND
FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE AND ANY RELATED OR ACCOMPANYING WRITTEN MATERIALS. THIS
LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.

NO LIABILITY FOR DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS SUPPLIERS
BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING WITHOUT LIMITATION, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES
FOR PERSONAL INJURY, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY
LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS PRODUCT, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY
OF SUCH DAMAGES. IN ANY CASE, THE COMPANY’S AND ITS SUPPLIERS’ ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL
BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR
LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
